License Agreement
Under this End-User License Agreement (the “Agreement”), Enz Technik AG (the “Vendor”) grants the user (the “Licensee” a non-exclusive and non-transferable license (the “License”) to use the Applications Enz Camera and Enz Cloud (the “Applications”).
Please read this Agreement carefully before downloading or using the Applications. By downloading or using the Applications, you are agreeing to be bound by the terms and conditions of this Agreement.
If you do not agree to the terms of this Agreement, do not download or use the Applications.
License
1. Enz Technik AG grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Applications solely for your
companies’ purposes strictly in accordance with the terms of this Agreement.
2. The title, copyright, intellectual property rights and distribution rights of the Applications remain exclusively with the Vendor. Intellectual property rights
include the look and feel of the Applications. This Agreement
constitutes a license for use only and is not in any way a transfer of ownership rights to the Applications.
3. The “Applications” include the executable programs and any related printed, electronic or online documentation and any other files that may accompany the product.
License Fee:
The “Basic License” usage for a duration of 12 months - starting from the first delivery date - is included in the original product purchase price.
Limitation of Liability
The Applications are provided by the Vendor and accepted by the Licensee “as is”. The liability of the Vendor will be limited to a maximum of the original purchase price of the software. The Vendor will not be liable for any general, special, incidental or consequential damages including, but not limited to, loss of productivity, loss of profits, loss of revenue, loss of data, or any other business or economic disadvantage suffered by the Licensee arising out of the use or failure to use the Applications.
The Vendor does not warrant that use of the Applications will be uninterrupted or error free. The Licensee accepts that software in general is prone to bugs and flaws within an acceptable level as determined in the industry.
Functions
The “Basic License” for the application “Enz Cloud” offers a free of charge storage duration of 72 hours from the time of when the video was uploaded.
The “Basic License” is tied to the camera(s) that was/were content of the scope of delivery. Licenses cannot be shared or swapped between different cameras.
User Support
No user support or maintenance is provided as part of this Agreement.
Restrictions
You agree not to and not to permit others to:
license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Applications or make the Applications available to any third party.
Modifications to Applications
Enz Technik AG reserves the right to modify, suspend or discontinue, temporarily or permanently, the Applications or any service to which they connect, with or without notice and without liability to you.
Feedback
From time to time, you may choose to submit feedback to us. Enz Technik AG may in connection with any of its products or services freely use, copy, disclose, license, distribute and exploit any feedback in any manner without any obligation, royalty or restriction based on intellectual property rights or otherwise. No feedback will be considered as your confidential information, and nothing in this Agreement limits Enz Technik AG’s right to independently use, develop, evaluate, or market products or services, whether incorporating feedback or otherwise.
Term and Termination
This Agreement shall remain in effect until terminated by you or Enz Technik AG.
Enz Technik AG may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from Enz Technik AG, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Applications and all copies thereof from your mobile device or from your desktop. Upon termination of this Agreement, you shall cease all use of the Applications and delete all copies of the Applications from your mobile device and from your desktop.
Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Amendments to this Agreement
Enz Technik AG reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 (change this) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
